As someone once said: "The sky is dark with pigeons coming home to roost."

I am surprised and saddened that Adam was not elected - it is rare for Council to oust existing directors in favour of NOTA. I am more surprised that it was done on a show of hands. Given the nature of proxies, it should have been taken to card vote.

Having said that Adam not turning up AND not sending a statement was bound to irritate Council and strikes me as politically foolish. I am afraid that Mr Giddins is right in that I can not see Adam being co-opted to the board, without fireworks. Yet more fallout from CJ, I fear.

That we now have a President unsuited for the glad-handing that is integral to the role and essentially castrated is unfortunate. The paradox is that had Roger wished to prove his suitability for the role, he ought to have stepped down when his manifesto was rejected. A man who writes that such a rejection would turn him into a "toothless tiger" a) regards himself as a tiger and b) is unlikely to accept the rejection with a shrug of the shoulders.I wish him the best but fear the worse - a rallying point for the RdCs of this world.

I have no doubt that that is correct.

In which case I must apologise to Roger Edwards. As Krishna Shiatis has pointed out, I've "been mean to Roger". It appears I've got him elected to the ECF board - and you can't get much meaner than that.

More seriously, I was extremely disappointed to learn that there were 11 votes against me for non-exec. What on earth were the other 190 thinking? That's what I want to know!

There was no question of resignation: I was elected by the 2011 AGM to serve as Chairman of the Governance Committee until the conclusion of the 2012 AGM, and I saw out my term. With effect from 6.31 p.m. Chris Majer assumed the role of Chairman.

Company Secretary is a Board appointment rather than an elected position: I will continue in that capacity if that is the wish of the newly-elected Board. Some of the tasks that I had originally been performing as Governance Chair, particularly in relation to meetings and elections, are really the province of the Company Secretary, but were assumed by me (and by John Dunleavy before me) because they were not performed by the previous Company Secretary. I am expecting to retain these, which will make Chris Majer's workload more manageable.

Roger Edwards appears now to have the chance to prove a lot of people wrong. That will be a challenge but it's probably easier than being elected with the expectation you will perform miracles.

The vote may have been narrow - although not as narrow as the de facto confidence vote in CJ de Mooi at the finance meeting - but a majority still chose Roger Edwards to lead the ECF for the year ahead. I for one am willing to accept that.
